END USER LICENSE AGREEMENT

Singing Revealed, inc (“We” or “the Company”) is a company that provides training and products through its “Singing Revealed” website. Your use of information through the Singing Revealed website is licensed, not sold, to you for your use strictly in accordance with the terms of this Agreement.

1. License. We grant you a revocable, non-exclusive, limited and non-transferable license to access and use information on the Singing Revealed website strictly in accordance with the terms and conditions of this Agreement.

2. Restrictions on Use. You agree to use the information on the Singing Revealed web site strictly in accordance with the terms of this Agreement and you agree that you will not: (a) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the website or the information contained on the web stie; (b) make any modification, adaptation, improvement, enhancement, translation or derivative work from the website or the information contained on the web stie; (c) violate any applicable laws, rules or regulations in connection with your access or use of the website or the information contained on the web stie; (d) remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers or the information contained on the web stie; (e) use the website or the information contained on the web stie for any revenue generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended; (f) distribute the information contained on the web stie to unauthorized users; (g) use the website or the information contained on the web stie for creating a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for any services, product or software offered by the Company; (h) use the website to send automated queries to any other website or to send any unsolicited commercial e-mail; or (i) use any proprietary information or interfaces of the Company or other intellectual property of the Company in the design, development, manufacture, licensing or distribution of any applications or accessories.

3. Modification of Terms. We may change, amend, or modify the terms of this Agreement at any time due to changes in services, technology, or regulations, and even if, for any other reason, we deem it necessary or appropriate. Your continued use of the website in any respect once changes in the terms have become effective means that you have accepted and agreed to the changes. If you do not agree with the amended Terms, your sole and exclusive remedy is to terminate your use of the web site and to close your account.

4. Service Limitations. Access to the web site and to information contained on the web site may become degraded or unavailable during times of significant volume. This could result in the inability to use your subscription to information contained on the web site for some period of time. We are not responsible for service delays or failures caused by your service provider or your personal device. In addition, the web site may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services ("Third-Party Services"). You acknowledge and agree that we are not responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. We do not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services. Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to the third parties' terms and conditions

5. Rights to Content. You acknowledge and agrees that the website and the information contained on the web stie and all copyrights, patents, trademarks, trade secrets, proprietary rights, and all other intellectual property rights associated with the website and the information contained on the web stie are, and shall remain, the property of the Company. You also acknowledge and agree that the source and object code and the format, directories, interface, algorithms, structure and organization of the web site are the intellectual property and proprietary and confidential information of the Company and its affiliates, licensors and suppliers. Except as expressly stated in this Agreement, you are not granted any intellectual property rights in or to the website or the information contained on the web stie by implication, estoppel or other legal theory, and all rights in and to the Application not expressly granted in this License are hereby reserved and retained by the Company. You cannot use the information contained on the website for any purpose other than your own personal training to enhance your singing or speaking skills and performance techniques.

6. Third-Party Software. The web site may provide access to the use of third-party software that is subject to open source and third-party license terms. You acknowledge and agree that the licensed rights to use the website or the information contained on the web stie is subject to and may be governed by the terms and conditions of the open source or third-party licenses, including, without limitation, any applicable acknowledgements, license terms and disclaimers contained therein. In the event of a conflict between the terms of this Agreement and the terms of such open source or third-party licenses, the terms of the open source or third-party licenses shall control with regard to the use of the relevant third-party software. In no event, shall the information contained on the web site or components thereof be deemed to be "open source" or "publicly available" software.

7. Use of Trademarks. You are not authorized to reproduce, use or display of the Company’s trademarks in any advertising, publicity or in any other commercial manner without the prior written consent of the Company, which may be withheld for any or no reason. You acknowledge and agree that we own, and that we retain all right, title and interest in and to the trademarks and copyrights associated with the website or the information contained on the web stie.

8. Payments. You agree to pay the one time purchase amount or the monthly subscription amount as specified in the checkout of the product(s) you purchase.

9. Term, Suspension, Termination, and Cancellation. This Agreement shall remain in effect until terminated by you or the Company. We may at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from Company, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by not paying the monthly fee for access to training provided on the web site. In addition we may suspend, restrict, or terminate your access to the web site if: (i) We are so required by subpoena, court order, or binding order of a government authority; (ii) We reasonably suspect you are using a Company product in connection with unethical or prohibited uses; or (iii) Use of the web site becomes subject to any pending litigation, investigation, or government proceeding or we perceive an important risk of legal or regulatory non-compliance associated with it. Termination of this Agreement will not limit any of the Company' rights or remedies at law or in equity in case of breach by you during or after the term of this Agreement of any of your obligations under the Agreement.

10.INDEMNIFICATION AND LIABILITY RELEASE. You shall indemnify, defend, and hold harmless the Company and its affiliates and their respective officers, directors, agents and employees from and against any and all claims, suits, actions, proceedings, liabilities, losses, damages, costs and expenses, including reasonable attorneys’ fees, arising out of or resulting from (i) any breach of this Agreement by you; or (ii) any negligent, wrongful or intentional act or omission by you in connection with use of the information contained on the web site or the performance of its obligations hereunder.

11.Governing Law. This Agreement is to be construed, governed, interpreted and enforced according to the laws of the State of Utah, U.S.A., without reference to its conflict of laws provisions, and in accordance with applicable U.S. Federal law as it relates to trademarks and copyrights. All disputes shall be resolved in the U.S. District Court of for the District of Utah. The Company may choose to resolve any controversy or claim with you arising out of or relating to this Agreement or any breach of this Agreement, by arbitration. The arbitration will take place in Salt Lake City, Utah, the United States of America, and administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator shall be required to award to the prevailing party reasonable attorneys’ fees, costs, and expenses incurred in the arbitration, in addition to any other relief to which a party may be entitled.
